Welcome to Publiqa. These Terms and Conditions (the "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Publiqa ("Company," "we," "us," or "our") governing your access to and use of the platform at publiqa.ai (the "Service").

By creating an account, accessing, or using Publiqa, you confirm that you have read, understood, and agreed to these Terms.

1. Description of the Service

Publiqa is a cloud-based AI content creation and social media automation platform. Features include multi-format campaign generation, AI video creation, competitor insight analysis, content scheduling, and social publishing tools.

We regularly update and refine our tools to deliver the best creative performance. We reserve the right to modify, update, or discontinue specific features or capabilities with reasonable notice where feasible.

2. Accounts and Workspaces

2.1 Account Eligibility & Security

• You must be at least 18 years old to create an account.
• You are responsible for keeping your login credentials confidential. Any activity occurring under your account or workspace is your responsibility.
• You agree to notify us immediately of any unauthorized access to your account.

2.2 Workspaces and Team Access

• Accounts can create or join shared Workspaces.
• Workspace owners are responsible for managing member invitations, roles (Owner, Admin, Member), and ensuring invited team members comply with these Terms.

3. Intellectual Property and Content Ownership

3.1 Your Assets and Content

You retain all ownership rights to any text, images, logos, video b-roll, audio, or materials you upload to the Service ("User Content"). You grant Publiqa a worldwide, non-exclusive license solely to host, process, and display your User Content as needed to provide the Service to you.

3.2 Generated Content & Videos

• You own the content and videos you create: As between you and Publiqa, you own all rights and title to the marketing copy, video storyboards, captions, and rendered video files generated through your account.
• You are free to publish, monetize, commercialize, and distribute your generated content across all digital platforms.
• Because AI generates outputs based on language patterns, you recognize that similar prompts submitted by other users may yield comparable ideas or structures.

3.3 Stock Assets and Background Music

• Background stock footage and photography retrieved through our platform library are provided under standard commercial licenses. You may use them within your finalized video projects, but you may not resell raw stock files as standalone digital assets.
• Built-in background audio tracks provided in Publiqa are cleared for commercial use in videos published across major social media networks.

3.4 Platform Rights

All rights, title, and intellectual property in the Publiqa platform, website, brand, user interface, and software belong exclusively to Publiqa.

4. Acceptable Use Policy

To protect our community and platform integrity, you agree not to use Publiqa to:

• Generate or distribute content that is illegal, defamatory, fraudulent, sexually explicit, or promotes violence or hate speech.
• Create deceptive media, non-consensual deepfakes, or misleading synthetic voice clones intended to impersonate individuals.
• Upload copyrighted music, video clips, or trademarks without having the necessary legal rights or licenses.
• Attempt to compromise system security, reverse-engineer platform tools, or circumvent subscription limits, credits, or account quotas.
• Send automated spam or violate the terms of service of connected social media platforms (e.g., YouTube, TikTok, Instagram, LinkedIn, X).

Violation of this policy may result in immediate suspension or termination of your account without refund.

5. Subscriptions, Credits, and Payments

5.1 Pricing and Plans

• Publiqa offers tiered subscription plans (e.g., Solo, Growth, Agency) and optional credit top-up packages as detailed on our Pricing Page.
• Subscription fees are billed in advance on a recurring monthly or annual basis depending on your selection.
• Paid plans include monthly credits that refresh at the beginning of each billing cycle. Additional top-up credits do not expire and roll over until used.

5.2 Upgrades, Downgrades & Cancellations

• You can manage, upgrade, downgrade, or cancel your subscription at any time directly through Dashboard > Settings > Billing.
• If you cancel your subscription, you retain full access to your plan features and remaining credits until the end of your current paid billing period.

5.3 Refunds

• Subscription fees and credit purchases are generally non-refundable once processed, except where required by applicable consumer protection laws.

6. Service Availability and Disclaimers

• We strive for high reliability and 99.5%+ uptime, but we do not guarantee uninterrupted, error-free operation.
• "As Is" Basis: The Service and generated outputs are provided on an "as is" and "as available" basis. While our AI produces high-performing creative suggestions, you are solely responsible for reviewing and approving all final copy and video content before publishing.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Publiqa and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business goodwill) arising from your use of the Service.

8. Account Termination

You may terminate your account at any time through your account settings. Publiqa reserves the right to suspend or terminate accounts that breach these Terms or engage in fraudulent activities.

9. Governing Law

These Terms are governed by and construed in accordance with applicable governing laws, without regard to conflict of law rules.
